Terms & Conditions

1. Scope of Services

​

Upon acceptance of these terms, Sirenic will provide services as outlined in the project agreement. The client acknowledges that additional services beyond the initial agreement may lead to increased costs and alterations to the timeline.

​

2. Estimate and Cost Alterations

​

The given estimate, valid for 48 hours, is based on initial client input and may be subject to changes due to exchange rate fluctuations or alterations in project requirements. The client agrees to accommodate potential cost adjustments due to project scope changes.

​

3. Pricing and Payment Terms

​

Upon receipt of an invoice, payment becomes due. A deposit of 50% is required to secure services with the balance payable 7 days before the event unless otherwise negotiated. The client recognizes that late payments may lead to service disruptions and additional charges.

​

4. Client's Responsibilities

The client commits to providing all necessary information, including access to venues, permits, and other relevant details to facilitate effective service delivery. The client understands that incomplete or inaccurate information may lead to operational complications.

5. Sirenic's Responsibilities

​

Sirenic pledges to execute all services professionally, complying with relevant safety regulations and standards. The client acknowledges that deviations from these standards may lead to unforeseen risks and reputational damage.

6. Liability and Insurance

​

The client holds appropriate insurance for the event. Sirenic's liability is limited to the amount paid for the services. Both parties acknowledge the financial risk associated with insufficient insurance coverage.

​

7. Confidentiality and Intellectual Property

​

Both parties vow to maintain confidentiality of shared information. Intellectual property rights for creative outputs remain with Sirenic unless otherwise agreed. Both parties understand the risk of legal disputes due to non-compliance with this clause.

8. Cancellation and Termination

​

Confirmed orders that are cancelled incur a cancelation fee and is based on each project's SOW. Please request terms upon orders. 

​

9. Force Majeure

​

In the case of a Force Majeure Event preventing Sirenic's performance, Sirenic will be excused for the event's duration. The client, however, remains liable for the agreed-upon charges. Both parties acknowledge the potential for unavoidable disruptions and costs arising from such events.

10. Governing Law

​

This agreement is governed by the laws of the country where Sirenic is registered. Parties accept the potential complexities arising from variations in regional or international law.

​

11. Dispute Resolution

​

All disputes arising from this agreement will be resolved via negotiation, mediation, or arbitration, before resorting to litigation. Both parties recognize that disputes can be costly and impact professional relationships.

​

12. General

​

Additional costs such as flights, accommodation, transit, and per diems fall under the client's responsibility. The person signing this agreement accepts these terms on behalf of the client. The parties agree that purchase orders or deposits paid confirm the acceptance of this agreement.

13. Entire Agreement

​

This agreement is the entire agreement between Sirenic and the client. Misunderstandings about this agreement's terms may lead to disputes, dissatisfaction, and legal action.

Data Protection and POPIA Compliance

​

  1. Data Protection Compliance

    a. Client Obligations: The client agrees to comply with the Protection of Personal Information Act (POPIA) and any other applicable data protection legislation concerning the processing of personal information in relation to the services provided by Sirenic.

    b. Sirenic Obligations: Sirenic commits to processing personal information in accordance with POPIA and taking all reasonable measures to protect such information from unauthorized access, disclosure, alteration, or destruction.

  2. Data Collection and Use

    a. Sirenic shall collect and use personal information only for the purposes specified in the project agreement and as necessary to provide the agreed-upon services.

  3. Data Security

    a. Sirenic shall implement appropriate technical and organizational measures to ensure the security of personal information and prevent data breaches.

  4. Data Subject Rights

    a. Both parties acknowledge and respect the rights of data subjects under POPIA, including the right to access, correct, and delete personal information held by either party.

  5. Indemnification

    a. The client agrees to indemnify and hold Sirenic harmless from any claims, damages, or penalties arising from non-compliance with POPIA or any other applicable data protection legislation due to the client's actions or omissions.

  6. Breach Notification

    a. In the event of a data breach involving personal information processed by Sirenic, Sirenic shall promptly notify the client and take all necessary steps to mitigate the breach's impact.

  7. Data Retention

    a. Sirenic shall retain personal information only for as long as necessary to fulfill the purposes for which it was collected or as required by law.

  8. Sub-processors

    a. Sirenic may engage sub-processors to process personal information on its behalf, provided that such sub-processors comply with similar data protection obligations as those imposed on Sirenic under this agreement.

  9. Review and Amendments

    a. This clause may be reviewed and amended from time to time to ensure ongoing compliance with POPIA and any other relevant data protection legislation.

14. Directors' Liability and Suretyship

​

a. No Personal Liability: The client acknowledges and agrees that no director, officer, or employee of Sirenic shall incur any personal liability in connection with this agreement. All obligations and liabilities arising under this agreement are those of Sirenic as a legal entity, and not of its directors, officers, or employees personally.

​

b. No Suretyship or Personal Guarantee: The client further acknowledges and agrees that by entering into this agreement, no director, officer, or employee of Sirenic provides any form of personal suretyship or guarantee for the obligations of Sirenic. All commitments made in this agreement are solely the responsibility of Sirenic as a company, and no individual associated with Sirenic shall be personally responsible for fulfilling any such obligations.

15. Acknowledgment of Payment and Commitment to Agreement

​

Payment towards this agreement constitutes a formal acknowledgment and commitment to the terms and conditions outlined in this contract. By making payment, the client affirms their obligation to fully adhere to all responsibilities and deliverables as agreed upon between the parties.
